Terms

Scope. These Terms govern professional services provided by RGI bv (FreelanceProjectManager.be) to business clients and the use of our website.

1. Services. Delivered on time‑and‑materials or fixed‑fee per Quote/SOW. Engagement begins upon written confirmation.

2. Fees & invoicing. Unless agreed otherwise: hourly rate €150; invoiced monthly; payment net 14 days. Late payments accrue statutory interest and reasonable collection costs.

3. Client obligations. Provide access, timely information, and decisions.

4. IP. Pre‑existing IP remains with its owner. Project deliverables are licensed or assigned as stated in the SOW.

5. Confidentiality & Data Protection. Parties keep confidential information secret. Where RGI acts as Processor, the Data Processing Agreement (DPA) applies.

6. Liability. Capped at the greater of (i) 10% fees paid in the preceding 12 months or (ii) €5,000. No liability for indirect, consequential, or lost profits to the extent permitted by law. No cap for willful misconduct, gross negligence, death or personal injury.

7. Indemnity. Client indemnifies RGI for claims arising from client materials, instructions, or legal violations by Client.

8. Term & termination. Engagements run until completion. Either party may terminate for cause after a 30‑day cure. Upon termination: pay due amounts; return/delete data per DPA.

9. Force majeure. No liability for events beyond reasonable control.

10. Non‑solicitation. During the engagement and 6 months after, neither party solicits the other’s staff without consent.

11. Law & venue. Belgian law; courts of Antwerp, Turnhout division.

12. Order of precedence. Quote/SOW → DPA → these Terms → other docs.

13. Changes. RGI may amend these Terms; material changes will be notified in advance.
